General Framework of Legal Entities (TMK article 47-100)

Legal person is a person or group of property recognized by law. It is regulated in TMK art.47-100.

  • Associations (TMK art.56-100, Associations Law no. 5253)
  • Foundations (TMK art.101-117, Foundations Law no. 5737)
  • Companies (TTK)
  • Cooperatives
  • Public legal entities (state, municipality)
  • Associations: By establishment notification
  • Foundations: By court decision and registration in the registry
  • Companies: By registration in the trade registry

Legal entities may have all rights except rights specific to humans such as gender, age, kinship (TMK art. 48).

Bodies

  • General assembly: The highest decision-making body
  • Management: Daily affairs
  • Audit: Accounts control

Expiration

  • Expiration
  • Achievement of the purpose or understanding that it cannot be achieved
  • General assembly decision
  • Court decision (contrary to law/morality)
