TTK Article 553: A member of the board of directors of AŞ is liable for damages arising from his own faults, violating his obligations arising from the law or the articles of association.
Types of Liability
- Towards the company (decisions reducing the capital)
- Towards partners (unequal treatment)
- To creditors (hiding financial difficulties)
- To third parties. against (causing damage)
Joint and Joint Liability
- More than one member of the Board of Directors is jointly liable
- Shareholders may request
- Bankruptcy estate may request
Declaration of Release
- General assembly discharge decision
- Liability is excluded except for known crimes/errors
Supreme Court 11. HD and 23. HD
11. HD accepts that the responsibility of the board member is based on "duty of professional care".
